The Over the Counter Derivatives (Intragroup Transactions) Regulations 2026

Published: Thu 22nd Oct 26

Amended the EMIR Regulation to establish permanent notification and exemption procedures for intragroup derivative transactions involving UK and overseas entities.

These Regulations amend the retained EU law known as the EMIR Regulation to establish a permanent regime for exempting intragroup over-the-counter (OTC) derivative contracts from clearing and risk-management requirements.

They expand the definition of intragroup transactions to include those involving entities established in any jurisdiction, provided they are part of the same consolidated group and subject to centralized risk procedures.

The instrument applies to financial and non-financial counterparties engaging in derivative trades, requiring them to notify the Financial Conduct Authority (FCA) of intended exemptions and allowing the FCA to object within a 30-day period.

Arguments For

  • The regulations aim to simplify the definition of an intragroup transaction so that entities within the same consolidated group qualify regardless of their jurisdiction.

  • Proponents state the measures replace temporary post-Brexit provisions with a permanent framework under the Financial Services and Markets Act 2023.

  • The document indicates the changes streamline accounting standards by referencing UK-adopted international standards and specific equivalence decisions.

  • The order asserts that allowing the FCA a 30-day objection period for notifications provides a structured regulatory oversight mechanism for exemptions.

Arguments Against

  • Legal practitioners may note that the effectiveness of these exemptions remains contingent on the Financial Conduct Authority (FCA) not exercising its power to object within the 30-day window.

  • Financial institutions must ensure their internal risk evaluation and control procedures meet the "appropriate" threshold to qualify for the intragroup definition, which may be subject to regulatory interpretation.

  • Some entities may face administrative burdens in verifying that third-country counterparties meet the specific consolidation and accounting standards cited in the amended Article 3.
